These Terms of Service (“Terms”) govern your access to and use of the Berlek website, applications, and related services (collectively, the “Service”). The Service is operated by Berlek Inc (“Berlek”, “we”, “us”, or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

  1. Eligibility

You must be at least 13 years old to use the Service. If you are under 18 (or the age of majority where you live), you may use the Service only if a parent or legal guardian agrees to these Terms on your behalf.

  1. Accounts and security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@Berlek.com if you suspect unauthorized access.

  1. The Service

Berlek is an AI-powered memory and productivity service that can help you capture information, create reminders, manage lists, organize files, and interact across communication channels (for example, messaging apps, email, and the Berlek app). Specific features may change over time.

  1. Your content and instructions

The Service may allow you to submit content such as text, files, calendar information, and messages (“User Content”). You retain ownership of your User Content. You grant Berlek a limited, worldwide, non-exclusive, royalty-free license to host, store, process, and transmit your User Content only as necessary to operate and improve the Service and as described in our Privacy Policy.

You represent and warrant that: (a) you have all rights necessary to provide User Content to the Service; (b) your User Content and your use of the Service comply with applicable laws and these Terms; and (c) you will not submit content that is unlawful, infringing, harmful, or violates the rights of others.

  1. AI outputs and accuracy

The Service may generate outputs, summaries, reminders, drafts, or suggestions based on your inputs (“Outputs”). Outputs may be incorrect, incomplete, or outdated. You are responsible for reviewing and verifying Outputs before relying on them, especially for important decisions.

Berlek does not provide professional advice (including legal, medical, financial, or accounting advice). If you need such advice, consult a qualified professional.

  1. Acceptable use

You agree not to:

  • Use the Service in any way that violates applicable law or regulations;
  • Send spam or unsolicited messages, or use the Service for fraudulent, deceptive, or misleading activity;
  • Attempt to access another user’s account or data without authorization;
  • Reverse engineer, decompile, or attempt to extract source code (except to the extent permitted by law);
  • Interfere with or disrupt the Service, including by introducing malware or conducting attacks;
  • Use the Service to generate or distribute illegal content or to infringe intellectual property rights.
  1. Communications sent through third-party channels

If you connect the Service to third-party channels (such as messaging platforms or email), you instruct Berlek to send messages, reminders, or notifications through those channels. You are responsible for obtaining any required permissions or consents from recipients and for complying with applicable anti-spam and communications laws (for example, CAN-SPAM for email).

We may send you service-related messages (for example, security notices, receipts, or product updates). Where required, marketing emails will include an unsubscribe mechanism.

  1. Third-party services and integrations

The Service may integrate with third-party services (for example, Google services, messaging platforms, or email providers). Your use of third-party services is subject to their terms and privacy policies, and Berlek is not responsible for third-party services.

If you connect Google services, Berlek will use the data accessed via Google APIs only to provide and improve the Service, in accordance with these Terms, our Privacy Policy, and the Google API Services User Data Policy (including Limited Use requirements), as applicable.

  1. Subscriptions, trials, and billing

Some parts of the Service may require a paid subscription. Pricing, billing frequency, and plan features are described at the point of purchase or on the pricing page. Taxes may apply.

Free trials (if offered) will convert to a paid subscription unless you cancel before the trial ends. You can cancel at any time according to the instructions provided in the app or your account settings.

  1. Refunds

Refund eligibility (if any) is described in our Refunds and Returns Policy. If you purchased through the Apple App Store or Google Play, refunds may need to be requested directly from the store under their policies.

  1. Intellectual property

Berlek and its licensors own all rights, title, and interest in and to the Service, including software, designs, and trademarks, excluding User Content. You may not use our trademarks without our prior written consent.

  1. Feedback

If you provide feedback or suggestions, you grant Berlek the right to use them without restriction or compensation.

  1. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

  1. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BERLEK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BERLEK’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BERLEK FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD 100.

  1. Indemnification

You agree to defend, indemnify, and hold harmless Berlek and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service or your violation of these Terms.

  1. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe termination is necessary to protect the Service, other users, or third parties.

  1. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Except where prohibited by law, you agree that any dispute not subject to arbitration (if applicable) will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

  1. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on the site and updating the “Last updated” date. Your continued use of the Service after changes become effective constitutes acceptance.
